This End User License Agreement ("EULA") is a legal agreement between you ("you", "User") and Mantaray Software Sàrl governing your use of the mobile application currently titled Mantaray Timesheets (the "App"). By downloading, installing, accessing, or using the App, you agree to be bound by this EULA. If you do not agree, do not install or use the App.

License Grant and Scope
License
Subject to your compliance with this EULA and payment of applicable fees, Mantaray grants you a limited, revocable, non exclusive, non transferable, non sublicensable license to install and use the App on Apple devices that you own or control, solely for your internal business use and strictly in accordance with this EULA and Apple's App Store terms.
License Restrictions
You shall not, and shall not permit others to:
(a) copy, modify, translate, or create derivative works of the App;
(b) reverse engineer, decompile, attempt to derive source code except where permitted by law;
(c) remove or obscure proprietary notices;
(d) rent, lease, lend, sell, sublicense, or transfer the App;
(e) use the App in violation of applicable law or third party rights;
(f) circumvent, disable, or interfere with security related features;
(g) use the App for any purpose unrelated to timekeeping activities;
(h) access or run the App on any device or system not permitted under this EULA.
Ownership
The App is licensed, not sold. Mantaray retains all rights, title, and interest in the App, including all intellectual property rights.
Account, Eligibility, and Access Requirements
Enterprise Login Required
The App is intended solely for professional use by individuals who have active, preconfigured credentials in an existing Mantaray CRM environment.
Age Requirement
The App is not directed to persons under 16. By using the App, you confirm that you are at least 16 years old and authorized by your organization.
Responsibility for Credentials
You are solely responsible for safeguarding your login credentials. Any activity under your account is your responsibility.
Loss of Access
Access to the App may be suspended or terminated if:
Subscription, Billing, and Renewal (In-App Purchase)
Subscription Requirement
Mobile access to Timesheets features may require an auto renewing monthly subscription purchased via Apple's in app purchase system.
Billing and Renewal
Payment is charged to your Apple ID at confirmation. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the billing cycle. Renewal charges occur within 24 hours prior to renewal. You may manage your subscription in your App Store account settings.
CRM License Dependency
CRM access remains an additional prerequisite. A subscription does not grant CRM credentials. Your organization's CRM license does not include App Store subscription fees unless explicitly stated.
Handling of Refunds
Refunds are administered solely by Apple, according to Apple's policies.
Trials and Promotions
Any introductory price, trial, or promotional offer is governed by terms displayed at the time of purchase.
App Functionality and Service Scope
Purpose
The App provides mobile access to timekeeping features, including creating and editing timesheets and linking them to customers, jobs, tasks, and CSR entries within your organization's CRM.
Enterprise Configuration
Functionality, workflows, validations, and retention policies are configured within your organization's CRM environment. Certain features (e.g., timesheet validation, invoicing) are available only in the desktop CRM.
Updates and Modifications
Mantaray may update the App at any time, including changes that alter functionality. Some updates may be required to continue using the App.
Third Party System Dependencies
Use of the App requires network access, compatible device OS versions, and may require MDM or corporate security compliance.
Acceptable Use
You agree not to use the App to:
(a) submit unlawful, defamatory, offensive, or infringing content;
(b) violate the privacy or rights of others;
(c) transmit malware or harmful code;
(d) access unauthorized CRM areas;
(e) falsify or manipulate timesheet data;
(f) interfere with the functioning of the App or CRM.
Privacy and Data Protection

Your use is governed by our Privacy Policy
Roles (GDPR)
For CRM data, your organization acts as Data Controller; Mantaray may act as Processor. For support communications, diagnostics, or operational data, Mantaray may act as Controller.
Crash Reports
Crash reports are user initiated and contain only technical details required for troubleshooting.
Data Compliance
You remain responsible for compliance with your organization's data policies and any applicable laws.
Support and Maintenance
Support is available via support@mantaray.lu. While we make reasonable efforts to assist, no guarantee of resolution or time frame is provided.
Intellectual and Maintenance
IP Rights
All content, trademarks, service marks, and logos in the App are owned by Mantaray or its licensors.
Feedback License
Suggestions may be freely used by Mantaray without compensation.
Open Source and Third-Party Components
The App may include third party or open source components. Licenses governing those components apply where relevant.
Export, Encryption, and Sanctions Compliance
You must comply with all applicable export control laws, encryption regulations, and sanctions rules. You represent that you are not located in embargoed or restricted jurisdictions.
Apple-Specific Terms
As required for iOS distribution, you acknowledge:
Warranty Disclaimer
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE." MANTARAY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON INFRINGEMENT, AND UNINTERRUPTED SERVICE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANTARAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION.
Mantaray's total liability shall not exceed:
(a) the amount you paid (if any) in the past 12 months for the App subscription, or
(b) €100, whichever is greater.
Some jurisdictions restrict limitations; where so, this clause applies to the fullest extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless Mantaray and its affiliates from claims arising from:
(a) your misuse of the App;
(b) your violation of this EULA;
(c) your infringement of third party rights.
Suspension and Termination
Access may be suspended or terminated immediately if you:
(a) breach this EULA;
(b) cause security issues;
(c) lose CRM access;
(d) request deletion; or
(e) are required by law.
Provisions intended to survive termination shall survive.
Changes to the App or this EULA
Mantaray may amend this EULA to reflect legal, regulatory, or functional changes. Continued use after updates constitutes acceptance.
Governing Law and Jurisdiction
This EULA is governed by the laws of the Grand Duchy of Luxembourg. Exclusive jurisdiction lies with the courts of Luxembourg City.
Miscellaneous
Entire Agreement
This EULA, together with the Privacy Policy, constitutes the entire agreement regarding your use of the App.
Severability
Invalid provisions do not affect the remainder.
Assignment
You may not assign this EULA; Mantaray may assign it as part of a merger, acquisition, or transfer.
No Waiver
Failure to enforce does not constitute waiver.
Force Majeure
Mantaray is not liable for delays caused by circumstances beyond its reasonable control.
